OVERVIEW
The terms “we,”, “us,” “our,” “Company,” “Consistent 10K,” and “Jasmine Star” refers to Jasmine Star, LLC. The terms “Site” or “Sites” refers to jasminestar.com and all online class websites connected with Jasmine Star, LLC. The terms “user,” “you,” and “your” refers to site visitors, customers, and any other users of the site. 

The Site provides a website where users can read articles on small business management, marketing, sales, and services, and a service where users may purchase online classes, workshops, subscriptions, and products related to small business management, marketing, sales, and services (the “Service” or “Services”).

Use of the Site, including all materials presented herein and Services provided by the Company is subject to the following Terms and Conditions (“Terms”), together with our Privacy Policy and any documents and policies expressly incorporated by reference (collectively, the “Agreement”). These Terms apply to all site visitors, customers, and all other users of the site. By accessing or using any part of our Site or Services, purchasing any product or service offered by us, by clicking to accept or agree to the Terms when this option is made available to you, you unconditionally accept and agree to be bound by this Agreement. If you do not want to agree to these Terms or the Agreement, you must not access or use any part of our Sites or Services.

USE OF THE SITE + SERVICE
You represent and warrant that you have the full right and authority to enter into this Agreement and to perform the acts and obligations required of it hereunder.

Jasmine Star reserves the right to update and change, from time to time, this Agreement including any documents or policies incorporated by reference by posting updates or changes to our Sites. It is your responsibility to check this page periodically for changes. You can find the most recent version of these Terms here. Such changes shall be effective immediately as soon as they are posted, or the date dated in the notice Jasmine Star provides. By continuing to access or use the Sites or Services after such changes, you agree to be bound by the modified Agreement. Any new features or tools which are added to the Sites shall also be subject to this Agreement. If the modified Agreement is not acceptable to you, you must discontinue your access and use to our Services.
We reserve the right to limit the access, use, or sale of our Site and Services to any person, geographic region, or jurisdiction. We may exercise this right on a case-by-case basis at our sole and exclusive discretion.

Age Requirement
By accessing or using any part of the Site or Services, you represent and warrant that you are of legal age to form a binding contract with the Company and meet all eligibility requirements herein. If you are at not at least at the age of majority in your jurisdiction or eighteen (18) years of age, you must not access or use the Site or Services.

Account Creation
In order to use the Service, you may be required to provide information about yourself including your name, email address, username and password and other personal information. You agree that any information you provide is accurate, correct, and up to date. You must not impersonate someone else or provide account information or an email address other than your own. Failure to do so may result in immediate termination or suspension of your account. You are responsible for maintaining the confidentiality of any username and password you may use to access your account, and you agree not to transfer your password or username or lend or otherwise transfer your use of or access to your user account, to any third party. You are fully responsible for all transactions with, and information conveyed to you as a Jasmine Star account user, including technical information, pricing, business strategy, and data. If you become aware of any unauthorized use of your account, you must notify us immediately by writing to [insert email].

Prohibited Uses
You agree not to use or attempt to use the Sites, Services, or any software provided by Jasmine Star, whether alone, or in conjunction with other software or hardware, in any unlawful manner or a manner harmful to the Company. You further agree not to commit any harmful or unlawful act or attempt to commit any harmful or unlawful act on or through the Site or through use of any software or hardware including, but not limited to:  
Harmful Acts. Any dishonest or unethical practice; any violation of the law; infliction of harm to Jasmine Star reputation; hacking and other digital or physical attacks on the Sites; scraping, crawling, downloading, screen-grabbing, or otherwise copying content on the Sites and/or transmitting it in any way we have not specifically permitted; introducing, transmitting, or storing viruses or other malicious code; interfering with the security or operation of the Sites; framing or mirroring the Sites; creating, benchmarking, or gathering intelligence for a competitive offering; infringing another party’s intellectual property rights, including failing to obtain permission to upload/transfer/display works of authorship; intercepting or expropriating data; and the violation of the rights of the Company or any third party; impersonating or attempt to impersonate the Company, a Jasmine Star employee, another user, or any other person or entity (including, without limitation, by using email addresses or profile names associated with any of the foregoing); engaging in any other conduct that restricts or inhibits any individual’s use or enjoyment of the Site and Services, or which, as determined solely by us, may harm or users of the Sites, or expose them to liability.

“Spamming” And Unsolicited Communications. We have zero tolerance for spam and unsolicited communications. Any communications sent or authorized by you deemed “spamming,” or any other unsolicited solicitations (including without limitation postings on social media or third-party blogs) will be deemed, in our sole discretion, a violation of this Agreement and a material threat to the Company and to the rights of third parties. It is your obligation, exclusively, to ensure that all communications comply with state and local anti-spamming or analogous laws.  

Offensive Communications. Any communication sent, posted, or authorized by you, including without limitation postings on any website operated by you, or social media or blog, which are: sexually explicit, obscene, vulgar, or pornographic; offensive, profane, hateful, threatening, harmful, defamatory, libelous, harassing, or discriminatory; graphically violent; or solicitous of unlawful behavior.  

Sensitive Information. You will not import, or incorporate into, any contact lists or other content you upload to any website, software, or other electronic service hosted, provided by or connected to Jasmine Star, any of the following information: social security numbers, national insurance numbers, credit card data, passwords, security credentials, bank account numbers, or sensitive personal, health, or financial information of any kind.

Our Privacy Policy and Your Personal Information  
We respect your privacy and the use and protection of your non-public, personal information. Your submission of personal information through the Site is governed by our Privacy Policy, which is expressly incorporated into this Agreement. Jasmine Star reserves the right to modify its Privacy Policy from time to time without notice to you.

Refusal of Service
Jasmine Star reserves the right to refuse service to any order, person, or entity without obligation to assign reason for doing so. Jasmine Star reserves the right to limit the number of participants in any given online class or workshop. 

Order Placement; Acceptance; Payment 
If you make a purchase from us, payment must be received by us before your order is accepted. We may require additional information regarding your order if any required information was missing or inaccurate and may cancel or limit an order any time after it has been placed. 

Order Confirmation
We will email you to confirm the placement of your order and with details concerning product or service delivery. In the event that there is an error in this email confirmation, it is your responsibility to inform us as soon as possible. Please, please do this. We really do like you!

If you’ve signed up for a month-to-month subscription with us, the subscription renews automatically, and your credit card will be charged the fees stated at the time of purchase (or the introductory rate during introductory period). Price may change at the end of your subscription period. Your subscription will start as soon as your credit card is successfully charged.

If you have signed up for an online class or workshop, confirmation that we have received your order and payment does not constitute acceptance into the class or workshop. We will email you separately to confirm that you have been accepted into the class or workshop.

Cancellations, Refunds & Returns
All sales of digital products downloadable upon confirmation of purchase are final, including limited-time 30-day premium content, unless otherwise stated in a guarantee. All live online workshops, courses, and trainings held during a specific time period are eligible for refunds for up to 7 days from the first day of class, and after that time period has passed, no refunds will be given. If you’d like to cancel a monthly subscription you have with us, you can do so at least 24 hours before your scheduled billing date, and you will not be charged effective the following month. We will keep all current payments for the month.

Pricing
Jasmine Star reserves the right, without notice, to discontinue products or services or modify specifications and prices on products and services without incurring any obligation to you. Except as otherwise expressly provided for in these Terms, any price changes to your subscription or purchase of product(s) or services will take effect following email notice to you.  

‍When ordering products or services, Jasmine Star makes no representation or warranty that such product or service descriptions are accurate, complete, current, or error-free. All sales are deemed final except as provided otherwise. 
Recorded Digital Courses 

Selling on Social

Within 21 days of purchasing the Selling on Social course, users must contact our Customer Success Team via email or chat on the Site to request a refund of the course. To be eligible for a refund, users must complete all of the following requirements within 21 days of purchase:

1) Watch every lesson in the course in full (achieving 100% completion for every lesson);
2) Submit proof of completion for all accompanying materials, including every workbook, assessment, and any ancillary resources associated with each lesson; and 
3) Complete an exit survey for the course, which will be sent to the user at the time the user requests a refund.

Each of these requirements are necessary to receive a refund due to the nature of digital, consumable, and downloadable content. If a refund is granted, your access to the course, dashboard, and community will be revoked immediately.

If your purchase of a digital course includes a subscription to Social Curator, the subscription can be upgraded or canceled prior to subscription renewal without losing access to course content.

The Offer Creation Lab

Within 7 days of purchasing the Offer Creation Lab course, users must contact our Customer Success Team via email or chat to request a refund of the course. To be eligible for a refund, users must complete all of the following steps within 7 days of purchase:

1) Watch every lesson in the course in full (achieving 100% completion for every lesson);
2) Submit proof of completion for all accompanying materials, including every workbook, assessment, or ancillary resource associated with each lesson; and
3) Complete an exit survey for the course, which will be sent to the user at the time the user requests a refund.

Each of these requirements are necessary to receive a refund due to the nature of digital, consumable, and downloadable content. If a refund is granted, your access to the course, dashboard, and community will be revoked immediately.

If purchase of a digital course includes a subscription to Social Curator, the subscription can be upgraded or canceled prior to subscription renewal without losing access to course content.
Live Courses

Due to the nature of our live courses, the course fee is non-refundable once the first live session has begun, unless otherwise stated on the sales page at time of purchase. A refund may be issued if it is requested with our Customer Success Team prior to the first live session.

Digital Products Purchased as an Add-On to a Course


All sales of downloadable digital products purchased as add-ons during the checkout process are non-refundable.

Material You Submit To The Site


You shall not upload, post, or otherwise make available on the Site any artwork, photos, or other materials (collectively “Materials”) protected by copyright, trademark, or other proprietary right without the express written permission of the owner of the copyright, trademark, or other proprietary right. The burden of determining that any Materials are not so protected rests entirely with you. You shall be liable for any damage resulting from any infringement of copyrights, trademarks, or other proprietary rights, or any other harm resulting from such a submission and shall indemnify Jasmine Star from any claim against Jasmine Star resulting from your posting of Materials to the site. For all Materials submitted by you to the Site, you automatically represent or warrant that you have the authority to use and distribute the Materials, and that the use or display of the Materials will not violate any laws, rules, regulations or rights of third parties.

Jasmine Star reserves the right to remove from the site any Materials submitted by you that it deems inappropriate for the site or that appears to violate these terms and conditions.


Intellectual Property Rights To Your Materials


Jasmine Star does not claim ownership of Material you supply to Jasmine Star. However, the act of posting Material to the site conveys an irrevocable, worldwide license to Jasmine Star to use and distribute the posted Material in connection with the Site and any related Jasmine Star publications. You retain copyright ownership and any other rights you may rightfully hold in any content that you submit through the Service. By submitting Material to Jasmine Star, you agree to hold Jasmine Star harmless from and against all claims, liabilities and expenses arising out of any potential or actual copyright or trademark misappropriation or infringement claimed against you.


Our Intellectual Property

All content provided on the Site and in the Service, including all products and all online class and workshop materials are the intellectual property of Jasmine Star. The content of the Site and Service are protected by United States trademark, trade dress, and copyright law. You may not modify, publish, transmit, participate in the transfer or sale of, create derivative works from, distribute, display, reproduce or perform, or in any way exploit in any format whatsoever any of the content of the Site or the Service, in whole or in part without our prior written consent. You may not remove any trademark, copyright, or other notice from the content of the Site or the Service.

We reserve the right to immediately remove you from the Service, without refund, and to pursue all available legal remedies against you if you are caught violating this Agreement. In other words, don’t steal.


Third-Party Links


The Site and the Service may contain links to third party websites and resources. You acknowledge and agree that we are not responsible or liable for the availability, accuracy, content, or policies of third party websites or resources. Links to such websites or resources do not imply any endorsement by or affiliation with Jasmine Star. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources.


Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold Jasmine Star and its officers, directors, agents, affiliates, licensors, successors, representatives, and employees harmless from and against any and all claims, losses, damages, settlements, liabilities, costs, charges, assessments and expenses, as well as third party claims and causes of action (collectively, “Losses”), including, without limitation, all attorneys’ fees and costs of every kind, including expert fees and not limited to statutory costs), arising out of (1) your breach of any term, warranty, representation, or covenant in this Agreement, or (2) your violation of any applicable law, rule, regulation, or third party’s rights. 

Your obligation to indemnify Jasmine Star is conditioned upon providing Jasmine Star prompt notification of any and all such claims unless the failure to notify does not materially and adversely affect the defense. Jasmine Star will maintain control of the defense and/or settlement of any Losses, at your expense. Jasmine Star will use commercially reasonable efforts to mitigate any damages for which you are required to indemnify Jasmine Star. You agree you will not settle any third-party claim in a manner detrimental to Jasmine Star without the written consent of Jasmine Star, not to be unreasonably withheld or delayed.

Disclaimers of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE, OUR SERVICES, AND ALL CONTENT ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WHERE IS” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. WE MAKE NO, AND EXPRESSLY DISCLAIM ANY AND ALL, REPRESENTATIONS AND WARRANTIES AS TO THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, AVAILABILITY, ACCURACY, AND/OR COMPLETENESS OF OUR SERVICES AND ANY INFORMATION ON OUR SITES. WE DO NOT REPRESENT OR WARRANT, AND EXPRESSLY DISCLAIM THAT: (A) THE USE OF THE SITE OR OUR SERVICES WILL BE SECURE, TIMELY, UNINTERRUPTED OR ERROR-FREE, OR OPERATE IN COMBINATION WITH ANY OTHER HARDWARE, SOFTWARE, SYSTEM OR DATA, (B) THE WEBSITE, SOFTWARE, OR SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, (C) ANY STORED DATA WILL BE ACCURATE OR RELIABLE, (D) THE QUALITY OF ANY PRODUCTS, SERVICES, SOFTWARE, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SITES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, (E) ERRORS OR DEFECTS IN THE SITES WILL BE CORRECTED, OR (F) THE SITE OR THE SERVER(S) THAT MAKE THE SITE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. IN NO EVENT SHALL JASMINE STAR OR ANY OF ITS AFFILIATES, SUCCESSORS, OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, INDEPENDENT CONTRACTORS, REPRESENTATIVES, OR AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL, PUNITIVE, OR ANY OTHER DAMAGES, FEES, COSTS OR CLAIMS ARISING FROM OR RELATED TO THIS AGREEMENT, THE SERVICES OR PRODUCTS, YOUR OR A THIRD PARTY’S USE OR ATTEMPTED USE OF THE SITE OR ANY SOFTWARE, SERVICE, OR PRODUCT, REGARDLESS OF WHETHER JASMINE STAR HAS HAD NOTICE OF THE POSSIBILITY OF SUCH DAMAGES, FEES, COSTS, OR CLAIMS. THIS INCLUDES, WITHOUT LIMITATION, ANY LOSS OF USE, LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, COST OF PROCUREMENT OF SUBSTITUTE SERVICES OR PRODUCTS, OR ANY OTHER INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, CONSEQUENTIAL, OR OTHER DAMAGES. THIS APPLIES REGARDLESS OF THE MANNER IN WHICH DAMAGES ARE ALLEGEDLY CAUSED, AND ON ANY THEORY OF LIABILITY, WHETHER FOR BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY), WARRANTY, OR OTHERWISE. WE EXPRESSLY DISCLAIM RESPONSIBILITY AND LIABILITY FOR ANY THIRD-PARTY MATERIALS, PROGRAMS, APPLICATIONS, TOOLS, PRODUCTS, AND SERVICES SET FORTH, DESCRIBED ON, OR ACCESSED THROUGH THE SITE OR OUR SERVICES, AND YOU AGREE THAT WE SHALL NOT BE RESPONSIBLE FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF ANY DEALINGS BETWEEN YOU AND A THIRD PARTY, WHETHER OR NOT FACILITATED BY OR MADE IN CONNECTION WITH THE SITE OR OUR SERVICES.

‍Governing Law; Venue; Mediation
This Agreement shall be construed in accordance with, and governed by, the laws of the State of California as applied to contracts that are executed and performed entirely in California. The exclusive venue for any arbitration or court proceeding based on or arising out of this Agreement shall be in Orange County, CA. The parties agree to attempt to resolve any dispute, claim or controversy arising out of or relating to this Agreement by mediation, which shall be conducted under the then current mediation procedures of The CPR Institute for Conflict Prevention & Resolution or any other procedure upon which the parties may agree. The parties further agree that their respective good faith participation in mediation is a condition precedent to pursuing any other available legal or equitable remedy, including litigation, arbitration or other dispute resolution procedures.

Recovery of Litigation Expenses
If any legal action or any arbitration or other proceeding is brought for the enforcement of this Agreement, or because of an alleged dispute, breach, default, or misrepresentation in connection with any of the provisions of this Agreement, the successful or prevailing party or parties shall be entitled to recover reasonable attorneys’ fees and other costs incurred in that action or proceeding, in addition to any other relief to which it or they may be entitled.

All notices, requests, demands, and other communications under this Agreement shall be in writing and properly addressed as follows:

This Section of the Terms will survive the termination of your relationship with Jasmine Star.

No Waiver
No failure or delay on the part of Jasmine Star in exercising any right, power or remedy under this Agreement may operate as a waiver, nor may any single or partial exercise of any such right, power, or remedy preclude any other or further exercise of such right, power, or remedy, or the exercise of any other rights, power, or remedy under this Agreement. A waiver of any right or obligation under this Agreement shall only be effective if in writing and signed by Jasmine Star.  
Termination 
If, in our sole discretion, you fail, or we suspect that you have failed, to comply with this Agreement or violated any law or regulation, whether in connection with your use of the Site or otherwise, we may immediately terminate the Agreement or suspend your access to the Site and Service at any time without notice to you. Upon termination, you remain responsible for any outstanding payments to Jasmine Star.  

Severability
If any term, provision, covenant, or condition of this Agreement is held by an arbitrator or court of competent jurisdiction to be invalid, void, or unenforceable, the remaining provisions shall remain in full force and effect and shall in no way be affected, impaired, or invalidated and such provision may be modified or severed from this Agreement to the extent necessary to make such provision enforceable and consistent with the remainder of the Agreement.  

Assignment
These Terms bind and inure to the benefit of the parties’ successors and assigns. These Terms are not assignable, delegable, sublicenseable, or otherwise transferable by you. Any transfer, assignment, delegation, or sublicense by you is invalid without express written consent. Jasmine Star may assign its rights under this Agreement at any time, without notice to you. 

Entire Agreement 
This Agreement and any documents and policies incorporated by reference constitutes the entire agreement and understanding between you and Jasmine Star and governs your access to and use of the Sites and Services and your ordering, purchasing, and use and/or attempted use of any of our products and services, and supersedes and replaces any prior or contemporaneous agreements, representations, communications, and proposals, whether oral or written, between you and Jasmine Star. We may also, in the future, offer new services and/or features through the Sites. Such new features and/or services shall also be subject to this Agreement, and any policies or operating rules posted by us on the Sites. Any ambiguities in the interpretation of these Terms or the Agreement shall not be construed against the drafting party.

Guarantees

Our Minimum Guarantees
Unless otherwise noted, all products come with an unconditional 30-day guarantee. If you are dissatisfied for any reason, simply contact customer support and request a full refund of your purchase price. You are guaranteed to close $5800 (depending on which payment plan you selected) in sales before the end of the 90-day program duration. If not, Jasmine Star will continue to work with you until you do (for a maximum of an additional 90 days, as this timeframe has consistently proven to be more than sufficient when clients actively implement the strategies provided).

Guarantee conditions:

If you fail to do the work prescribed by the program or does not participate in the program support, you will be disqualified from the Guarantee. This includes the following:
You must make all of their payments on time
You must join at least 50% of the support calls (unless otherwise discussed)
You must be active in the community weekly
You must watch every video, complete each worksheet, and implement all program strategies
You must take every action within the program tracking spreadsheet
Jasmine Star reserves the right to request proof that you’ve done what is prescribed above. In the event that the guarantee becomes activated, you must be willing to show proof.
